Temporary Positions


Periodic Temporary Government Contracts Counsel

Firm Advice has been engaged to identify an experienced federal government contracts attorney to work on a temporary, periodic basis for a government contractor in the Tysons area.  The selected candidate will work with the business teams and government customers to respond to RFPs and provide counsel on compliance with existing government contracts.  This opportunity is ideal for a solo practitioner who has time to represent additional clients.  Our client wants to identify someone who will be available for the long term, so please do not consider this opportunity if you are looking for a full-time position.

REQUIREMENTS
  • JD and member of at least one US bar;
  • Must have at least 3 years’ experience drafting and negotiating federal government contracts, as well as a thorough understanding of RFP processes, FAR and DFAR, and federal contracts’ compliance issues;
  • Must be able to work in a fast-paced environment while managing multiple priorities;
  • Candidate must be a self-starter with excellent communication and analytical skills; and
  • Must have excellent time management and organizational skills.

Contracts Counsel

Firm Advice is conducting a search for a commercial contracts counsel to provide support for a technology company headquartered in Reston, VA.

The selected Candidate will work with business teams and be responsible for drafting and negotiating domestic and international technology and commercial contracts with customers while mitigating risks. Responsibilities will also include providing counsel and contracts support to sales personnel.

REQUIREMENTS
  • JD and member of at least one US bar;
  • Must have at least 3 years’ experience drafting and negotiating technology agreements, preferably gained while working in a technology company or major law firm;
  • Experience with privacy issues, including privacy compliance and data protection programs a plus;
  • Must be able to work in a fast-paced environment while managing multiple priorities;
  • Candidate must be a self-starter with excellent communication and analytical skills; and
  • Must have excellent time management and organizational skills.

Government Contracts Counsel

Firm Advice is conducting a search for a part-time temporary government contracts counsel to provide support for a government contractor located in Northern VA. This attorney will be responsible for drafting and negotiating government contracts, responding to RFPs and ensuring compliance with existing contracts. This is an excellent opportunity for a solo practitioner or for someone interested in working part time hours to partner with a busy company in a collegial environment.

Local candidates only. The work is to be performed during regular business hours and frequent on-site meetings.

REQUIREMENTS
  • J.D. from accredited law school; member in good standing of a bar of the U.S.;
  • Five plus years’ experience drafting and negotiating commercial and government contracts;
  • Deep understanding of FAR and DFAR required;
  • Candidate must be a self-starter with excellent communication and analytical skills;
  • Must be able to work in a fast-paced environment while managing multiple priorities; and
  • Must be able to exercise discretion and make independent judgments on significant matters.

Securities Counsel

Firm Advice is conducting a search for a small DC firm for a mid-level to senior securities attorney. The attorney must have knowledge of SEC rules and regulations and experience with corporate governance.
RESPONSIBILITIES will include:
  • File SEC reports, including 1934 Act periodic reports, Section 16 filings, Conflicts Minerals Form SD, and preparing Proxy Statements;
  • Create materials for boards of directors, including resolutions and meeting minutes and assist in preparation of board meetings and annual stockholder meeting;
  • Draft and review corporate documents including organizational documents, powers of attorney, and other documentation related to international subsidiary formation and management; and
  • Assist with the administration of the company’s insider trading policy and stock programs.
REQUIREMENTS
  • JD and member of the DC bar;
  • At least three years securities experience at a major law firm and/or large in-house law department;
  • Attention to detail and highly organized with the ability to manage numerous projects simultaneously and efficiently;
  • Excellent business and legal judgment, strategic thinking and problem solving; and
  • Team player; work well under pressure.

Direct Hire Positions

VIRGINIA


Real Estate Partner (Direct Hire)

Firm Advice is conducting a search for an experienced lenders’ counsel to join a highly respected mid-sized firm in Reston, VA. The selected attorney will work with a partner who plans to retire in the next several years. The ideal candidate would have ten plus years of experience and some portable business. The Virginia Bar, or eligibility to waive into the Virginia Bar, is required.


Associate General Counsel

Firm Advice is searching for an Assistant General Counsel for a company in N. VA that is at the forefront of data privacy. The selected individual will interface with multiple departments and executives, assuming a broad range of responsibility.

The ideal candidate will have at least 5 years’ experience drafting and negotiating commercial technology agreements, including software licenses. Experience with advertising and marketing regulations and contracts and preparing SEC filings is a plus.

REQUIREMENTS
  • J.D. from accredited law school; member in good standing of a bar of the U.S. with ability to practice law as a corporate counsel in Virginia;
  • Must have at least 5 years’ experience drafting and negotiating commercial technology agreements, including software licenses, vendor, e-commerce, distribution, and sales agreements;
  • Experience with advertising and marketing issues, particularly under UDAAP and the FTC, and related transactions a plus;
  • Experience with SEC filings and corporate governance a plus;
  • Must be a self-starter with excellent communication and analytical skills and able to work independently on multiple tasks; and
  • Must be willing to learn new areas of the law.

Senior Counsel

Firm Advice is conducting an exclusive search for a Counsel on behalf of a premier government and commercial provider of manned and unmanned aviation, located in Northern Virginia. As the second attorney in this newly created position for this rapidly growing company, the Senior Counsel will have a broad range of diverse responsibilities, including:

  • Government and Commercial Contracts: Provide guidance to Contracts Department on government contracts, including the RFP process, and ensure compliance with existing government contracts;
  • Export & Corporate Compliance – Support the Director of Compliance on the following: Develop, implement, maintain, and ensure compliance with robust compliance programs, including export control, FCPA and ethics, and corporate;
  • Corporate Governance: Work with Corporate Secretary to accomplish all Corporate Secretary functions, including preparation and review of agenda and meeting minutes for Board and associated committee meetings, assist with preparation of Board briefings, consent documents and other corporate governance documents; draft and maintain governance documents for subsidiary corporations; and
  • Mergers and Acquisitions: Assist with corporate financing, investment, capitalization, and equity issues and documentation; assist in managing outside counsel relating to mergers and acquisitions, international operations in foreign countries and expansion to new foreign markets; and provide counsel on post-transaction integration.
REQUIREMENTS
Strong experience in government and commercial contracts is required. Since the selected individual will be providing executives with advice, in-house experience is REQUIRED. Candidates must be able to obtain a US Government security clearance. Local candidates preferred.

Corporate Associate

Firm Advice is conducting a search on behalf of a highly regarded mid-sized, full service firm in Northern Virginia for a Corporate Associate. The selected candidate will quickly assume responsibility for working directly with sophisticated clients on mergers and acquisitions, business formation, and financing arrangements. This is a unique opportunity for an attorney to have immediate client interaction and work with exceptional attorneys in a collaborative, life-friendly environment.

REQUIREMENTS
  • Must be a member of the Virginia bar, or eligible to waive in to the Virginia bar;
  • 2 to 7 years’ experience representing public or private companies in mergers and acquisitions and related corporate matters, including divestitures, restructurings, investment transactions, joint ventures and general corporate matters; and
  • Must be the type of person who enjoys working in a team-oriented, collaborative environment and solving important problems for clients.

Litigation Support Associate

Firm Advice is conducting a search for junior litigation support attorney to assist a small but sophisticated plaintiff’s litigation firm that handled higher-end personal injury, medical malpractice, product liability located in northwest DC. This position is full or part-time (20 hours per week). The Associate will be responsible for legal research and writing, drafting motions, briefs, and other documents and conducting discovery. Some degree of telecommuting is available.

REQUIREMENTS
  • JD degree membership in at least one state bar; DC bar preferable;
  • At least two years’ experience with litigation support;
  • Candidate must be a self-starter with excellent communication and analytical skills and able to work independently on multiple tasks;
  • Proven and excellent verbal and written communication skills.
  • Proactive manner and enthusiasm; ability to interface effectively and positively and
