Virginia

Summary

Firm Advice is assisting a significant, high-profile, global non-profit in locating a tax attorney who will focus on ensuring compliance with tax laws, lobbying restrictions, and grant requests and awards. Selected candidate will be trained to assist the general counsel in all legal areas affecting the organization. This is a fabulous opportunity for tax-focused attorneys who want to broaden their skill set.

Responsibilities
  • Advise business teams regarding laws applicable to nonprofits, particularly IRS, state and local lobbying laws, and ethics.
  • Facilitate grantmaking by finding solutions to issues that arise.
  • Partner with the general counsel to create and update policies, procedures, and systems to ensure legal compliance.
  • Draft and negotiate contracts, working with the general counsel to oversee the contract management function and collaborate with operations to improve templates.
  • Provide support for corporate governance activities as directed by the General Counsel.
  • Other duties assigned.
Experience Required
  • JD and membership in at least one U.S. bar; ability to waive in as VA Corporate Counsel.
  • 5+ years' experience providing tax counsel to non-profit organization(s), particularly 501(c)(3) compliance.
  • Global, strategic thinker; sensitivity and knowledge of cultural and political environments or willingness to learn.
  • Strong commitment to teamwork and accountability.
  • Exceptional and persuasive written and verbal communicator and willingness to learn new areas of the law.
  • Experience working with an international organization a plus.
  • Ability to travel as needed.

Finance Partner

Firm Advice is conducting a search on behalf of a Northern Virginia office of a rapidly growing firm for an attorney/partner who has experience representing lenders and real estate companies in major transactions. This attorney will hopefully assume the lead of the practice group when the current practice lead partner retires in about 3 years.

Government Contracts Partner

Firm Advice is conducting a search on behalf of the Northern Virginia office of a rapidly growing firm for a Government Contracts Partner. This position is a great opportunity for someone who wants to avoid the commute to DC but wants to work on sophisticated matters in a collegial environment. REQUIREMENTS
  • Eight (8) plus years' experience in government contracts litigation, counseling, and transactions.
  • Portable government contracts practice of $200,000+ is desirable.

Maryland

Summary

Firm Advice is conducting a search for the Montgomery County, MD office of an international technology company for a Legal Counsel. This trusted advisor will have a diverse role, which includes working with the legal team and business units to draft and negotiate commercial sales contracts, as well as resolving commercial disputes, providing guidance on transactions and product launch, and monitoring changes in laws and regulations. This position presents a fantastic opportunity to join the US HQ of a 2020 international award-winning "Best Employers" company, which offers a very congenial work environment and interesting, cutting edge legal work.

Experience Required
  • JD and member of at least one US bar.
  • Must have at least 3 years' experience drafting and negotiating commercial contracts, preferably gained while working in a technology company or major law firm.
  • Must have experience working in the IT sector and in assisting sales teams on commercial and sales transactions.
Experience Preferred
  • Experience contracting with government (Federal, state, and local) and regulated industries a plus.
  • Experience providing contract support to sales, marketing, product marketing, engineering, and other internal clients a plus.
  • Experience with software licensing and technology agreements (cloud/SaaS agreements) is a plus.

Temp to Possible Hire
Commercial Contracts Attorney

Firm Advice is conducting a search on behalf of a large corporation in DC that needs temporary assistance for 25 to 30 hours per week through January 2021.

Essential Job Functions:
  • Prepare, review, and negotiate contracts and related transactions, including NDAs, consulting, training, hotel, software licensing, SaaS, data privacy and other agreements supporting the business.
  • Provide advice to business units regarding proposed transactions, legal remedies applicable to contract enforcement, and interpretation of contracts.

Temp to Possible Hire
Commercial Contracts Attorney

Firm Advice is conducting a search on behalf of a growing technology company for an attorney to draft and negotiate commercial contracts, including licensing agreements, for the foreseeable future. The work would be done remotely, and they need someone for 20+ hours a week. The position could turn into a hired position, depending on continued growth of the business.

At least 1 year' experience drafting and negotiating commercial contracts is required. The ability to learn quickly, including learning how to draft and negotiate licensing and technology agreements is required. Privacy experience is a plus.
